Job Details
Responsibilities
- Assist the General Counsel and Senior Counsel on matters relating to Board meetings and actions, minute books, communications, and corporate governance practices and policies.
- Assist the Senior Counsel, executive management, and outside counsel with respect to the preparation and filing of the Company’s various filings with the Securities and Exchange Commission. This includes, researching various SEC requirements and competitors’ disclosure practices, ensuring director and officer compliance under Section 16 of the Securities Exchange Act, assisting in preparation of annual proxy statements, assisting in preparation of forms of certifications for certain SEC filings, and providing general assistance to the Legal Department on SEC/NYSE compliance matters.
- Provide general administrative support as needed, including, but not limited to:
o Assisting the Corporate Secretary in managing governance of the company’s subsidiaries
o Directing inquiries to appropriate personnel
o Maintaining calendars, scheduling meetings, and coordinating meeting logistics
o Establishing and maintaining filing systems
o Preparing correspondence and other documents in Word, Excel, and PowerPoint
o Proofreading documents for formatting, spelling, and grammar
o Ensuring policies and governance documents are posted to appropriate websites.
Qualifications:
- Minimum 5 years’ experience as a paralegal in a corporate law firm or public company in-house legal department
- Experience assembling on-line Board books, preferred.
- Experience in corporate securities, required
- Experience in corporate compliance matters is a plus
- Excellent organizational skills and written and oral communication skills
- Ability to multi-task and work in sometimes time-pressured environment
- Ability to analyze a situation, exercise judgment, and handle ambiguity
- High proficiency in Microsoft Word, and proficiency in other Microsoft Office programs including Excel, PowerPoint and Outlook
- Ability to proofread complex documents meticulously but efficiently
- Knowledge of confidentiality standards within a legal function and ability to adhere to those standards
- Ability to communicate professionally with employees at every level
