– $300,000 per year New York based IPP focusing in the solar energy space is searching for a Director to lead Financing and M&A efforts.
Job Description 1.
ORIGINATION OR DISVESTMENT
– Acquisition opportunities / divestment strategies, analyzing business models and developing and maintaining relationships with financial partner/s;
– Represent CVE to promote its projects, strategy, vision and values.

EARLY STAGE PREPARATION AND OPPORTUNITY REVIEW
– NA’s key contact point to discuss the financing or projects acquisition opportunities with Banks, the Sellers (Buyers) and their lawyers;
– Prepare the internal investment memo to Executive Committee’s review and approval;
– Supervise the due diligence process and ensure that the various internal teams (M&A, finance, legal, development, operations…) are mobilized and understand what they have to deliver;
– Ensure the availability of funds in line with our commitments (project construction schedule, acquisition payment);
– Participate in the legal structuring discussions of the transactions (SPEs, Holdings, Partnerships…) in collaboration with the General Counsel to facilitate the implementation of our multiple tranche financing strategy (construction, senior, TEP, mezzanine….).

NEGOTIATION AND EXECUTION
– Negotiate the Financial Term Sheets (pricing, leverage covenants) and manage Loan Documentation activities;
– Spearhead the multilateral negotiations on all the various aspects of the transaction (commercial, legal, technical) as well as throughout the acquisition process (LOI, Non-Binding Offer, Binding Offer, MIPA….), getting inputs from the internal team as and when appropriate to reach success.
– Post execution, ensure the correct divestment or integration of assets.

TEAM MANAGEMENT
– Ensure the Company’s vision and strategy are translated into an actionable plan with clear communication of how each role contributes to the organization’s success.
– Assess current and future skill needs, potential gaps and implement training plans as appropriate.
– Partner in the talent acquisition process via participation in the job posting creation, candidate selection process and applicable on the job training.
The Successful Applicant Experience gained in both an industrial or project-orientated company and in a bank, investment/private equity fund, one of the Big 4 advisory teams.
Outstanding interpersonal skills to collaborate with internal and external parties; An established network of the players in the market and a perfect understanding of the various mechanisms prevailing in the financing of renewable energy projects in the US: Tax equity partner, Sale and Lease back, non-recourse debt… Robust financial modelling skills and a proven track record in managing project finance / acquisition transactions in the power / renewable industry.
